Job Description

As Corporate Counsel, you will be a key member of our legal team, providing essential legal support to our domestic and international operations. You will work closely with colleagues across various departments, offering expert advice on a wide range of legal matters, including commercial contracts, leases, subpoenas, and providing support for litigation and regulatory compliance.

Essential Duties and Responsibilities:

  • Commercial Contracts: Review, draft, and negotiate diverse commercial agreements, including sales, service, and leasing contracts.
  • Contract Lifecycle Management: Manage the legal aspects of our Contract Lifecycle Management System, ensuring proper routing and maintenance of contracts.
  • Procurement Support: Provide legal guidance to procurement teams regarding the purchase of goods and services.
  • Due Diligence & Marketing: Conduct due diligence on business initiatives and advise on marketing and promotional materials.
  • Regulatory Compliance: Maintain up-to-date knowledge of laws and regulations relevant to company operations.
  • Litigation Support: Assist in managing litigation and other special projects as needed.
  • Outside Counsel Management: Collaborate with external counsel on a full range of legal activities.
  • Intellectual Property: Handle intellectual property filings and technology licensing.
  • Insurance Programs: Assist in the management of various insurance programs.

Qualifications:

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.
  • Active membership in good standing with a state bar.

Experience:

  • Minimum of 3 years of relevant legal experience as a qualified lawyer, in-house counsel, or advising for-profit businesses.
  • Demonstrated experience in corporate law and governance.
  • Experience with compliance matters.
  • Proven track record in commercial contract negotiation.

Knowledge, Skills, and Abilities:

  • Strong collaborative and interpersonal skills, with the ability to work effectively in a matrixed organization.
  • Unwavering ethical standards and a high degree of discretion.
  • Strategic thinking and problem-solving abilities.
  • Experience in the manufacturing industry or other direct business experience is highly desirable. A bachelor’s degree in manufacturing, industrial engineering, or a related technical field is a significant plus.
  • Legal Experience advising international clients with US manufacturing operations.
